Terms and Conditions

Unless otherwise stated in a signed contractual agreement, the following terms and conditions will apply to all programs and products managed and manufactured by Vision Composite Products (VCP).

  • VCP is only responsible for the quality costs related to their products. VCP will not pay any costs from customer assembly parts or additional product costs in the instance of a recall or product quality issue.
    • VCP may pay for quality cost of their product only (will not pay for customer assembly parts or additional product costs)
  • VCP will not pay costs associated with sorting or rework without expressed written consent per incident.
    • No costs for sorting, rework, etc. without expressed written consent per incident
  • Shipping is to be LTL and paid for by customer. VCP typically stores on-site with no more than 1 week of inventory.
    • FOB dock - Shipping with typically be LTL and paid by customer, typical on site storage at VCP will be no more than 1 week of inventory.
  • Products sold by VCP will be assumed to be non-export. Customer must provide location of assembly and country of destination.
    • Assumption is all product is non-export unless otherwise agreed to in quote. Customer to provide location of assembly and country of destination.
  • Packaging is assumed to be standard, single box VCP packaging.
    • Packaging is assumed to be standard single box VCP packaging unless otherwise agreed to in quote.
  • No PPAP or other specialized quality documentation will be submitted to customer unless specifically requested.

  • All maintenance costs associated with tooling owned by the customer will be paid by the customer.
    • Standard tooling maintenance costs are expected to be by customer if customer owned tooling.
  • All internal performance data related to VCP products or processes will be considered VCP’s proprietary data.
    • Internal performance to VCP will be proprietary data to VCP
  • All special performance targets (SCP, CpK data, Safety critical items) that are customer defined must be presented at time of quote or VCP will assume that none exist for the product.
    • Special performance targets (SPC, CpK data, Safety critical items) that are customer defined must be presented at time of quote. Else, assumption will be none exist on product.
  • Quote pricing is based upon pre-determined volume. If volume does not meet prediction, VCP reserves the right to re-quote based on actual volumes. All dedicated equipment, fixtures, gages, and tooling may be factored into quote.
    • Pricing is based upon estimated usage. If usage does not meet prediction, VCP reserves the right to requote based upon actual volumes.  Any dedicated equipment, fixtures, gages, and tooling will be factored into quote.
  • All specialized product testing must be requested and defined at the time of quote. If not, VCP will perform appropriate standardized testing as per product.
    • Testing will be standard VCP testing only – any specialized testing must be requested at time of quote.
  • Requirements for specialized serial number traceability must be defined at the time of quote, else VCP will maintain standard lot traceability per internal VCP standards.
    • Quote assumes no serial number traceability will be required (standard lot traceability per VCP standards may apply)
  • Any changes to contractual documentation content such as Statement of Requirements, Statement of Work, or Quote must be agreed upon in writing. VCP may requote depending on changes requested.
    • Any changes to Statement of Requirements / Statement of Work / Quote must be agreed in writing with VCP and requote may be required depending on change.
  • Schedule estimates provided at time of quote will be re-evaluated once PO (or firm contract) is received.
  • Customer driven delays that extend program schedules will cause a re-evaluation and updated timeline on the program schedule.
    • Timing estimates at quote will be confirmed once PO receipt (or firm contract) is confirmed. Any customer delays after PO may delay program by the same or more if critical dates are missed.
  • Delays in payment from a customer may cause delays in schedules for shipping, tooling, or other key milestones.
    • Any delay in payment from customer may cause delay in shipments, tooling, etc.
  • All customer specific requirements must be requested and defined at the time of quote. If not, VCP will assume standard requirements as per product.
    • Any customer specific requirements (material, performance, etc.) must be presented prior to quote. If not provided, standard VCP requirements are assumed.
  • VCP assumes no service requirements (service drawings, parts, or long-term supply) exist per standard program or product.
    • If not specifically called out in quote, the assumption is no service requirements exist (this includes service drawings, parts, or long-term supply).
  • All accessories (lugs, caps, etc) are the responsibility of the customer unless specifically referenced and priced in the quote. This information may be requested by VCP to verify proper interfacing fit.
    • Any accessories or parts not called out in quote (ex: lugs, caps) are not included in this quote and assumed to be full responsibility of customer. This information may be requested by VCP for interface verification and is expected to be provided upon request.
  • VCP reserves the right to cancel PO’s or contracts based upon market changes, business needs, or circumstances beyond their control. All attempts will be made to give customer sufficient notice if this is necessary.
